Terms of Service

Beta posture. Meridian is currently in a public, open-ended beta. The Starter tier is free of charge to all registered users. The Plus and Pro² tiers are previewed as future offerings with pricing not yet displayed; neither is currently offered for sale or activation. The tier-limit, billing, and auto-renewal clauses in section 7 are not currently operative for Plus or Pro². See section 3 (Beta Period — current availability) for the full beta-period terms.

1. Acceptance of Terms

By accessing or using Meridian (“the Platform”), operated by INSIGHTS-2 (UEN 53523643C), a sole-proprietorship registered in Singapore (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. Definitions

  • “Platform” means the Meridian web application at meridian.insights-2.com and any associated APIs we make available to you.
  • “Content” means anything you upload, paste, or otherwise submit to the Platform — including dashboard screenshots, business case canvas inputs, project metadata, and bug reports.
  • “Subscription” means a recurring paid plan (e.g. Plus, future Pro²) you purchase through Stripe.
  • “Customer Data Estate” means the BI assets, dashboards, and data sources owned or controlled by a single legal entity (you) and used for that entity's own internal operations.
  • “Client Engagement” means any work product, deliverable, or service you provide to a third party (your own clients or customers).
  • “You” means the individual or entity that registers an account or accesses the Platform.

3. Description of Service

What Meridian is. Meridian is a dashboard assessment and certification platform. Users upload dashboard screenshots and supporting business context for AI-powered evaluation against structured design rubrics. The Platform produces assessment reports and certification results. Meridian does not connect to users' live BI systems, data warehouses, or production infrastructure.

Active development. The Platform is in active development. Step 2 (Conform), Step 3 (Clean), and Step 4 (Connect) are currently “Coming Soon” placeholders; only Step 1 (Curate) and Step 5 (Certify) are fully functional. We label features in beta where appropriate; beta features may change, break, or be withdrawn without notice.

Beta Period — current availability. Meridian is currently offered as a public, open-ended beta. During the beta period the following terms apply in addition to the rest of these Terms:

  • The Starter tier is offered free of charge to all registered users, subject to the limits in section 7. Starter is the only tier presently available for activation.
  • The Plus tier is previewed on our pricing page as a future offering, with pricing not yet displayed during the beta. Plus is not currently available for purchase or activation. We will notify registered users by email at least 30 days before Plus opens for purchase, and again before any subsequent change to the Plus price once it is published.
  • The Pro² tier is signposted as “Coming soon”; no Pro² activation, sale, or fixed roadmap commitment is in force during the beta.
  • The Agency tier remains available outside the beta posture under a separate Master Service Agreement (see section 7).
  • No service-level, uptime, or support-response commitment is offered during the beta. Sections 8 (Disclaimers), 9 (Limitation of Liability) and 13 (Force majeure) apply in full to all beta usage, paid and unpaid.
  • Scoring rubrics, certification thresholds, tier limits, default models, and platform behaviour may change during the beta. Previously-issued certifications remain valid as a historical record of the assessment performed at the time, against the rubric and thresholds in force on the certification date; we are not obliged to retroactively re-score, re-issue, or invalidate past certifications when the rubric or thresholds change.
  • We may end the beta period, transition any tier from beta to General Availability, open Plus or Pro² for purchase, or change the structure of the tier offering, at our sole discretion. Active beta participants will receive at least 30 days' notice by email of any transition that materially affects their access, their tier limits, or the price they would pay to continue using a tier they currently use.
  • Beta participants are not required to provide feedback. Feedback you choose to submit — via the in-app bug-report widget, email, or any other channel — is governed by our Privacy Policy. You grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, and incorporate that feedback into the Platform without obligation of attribution or compensation. Do not include confidential information in feedback you do not wish us to use.
  • We may publish anonymised, aggregated metrics about beta usage (for example: total accounts created, total certifications issued) for product, marketing, or investor communications. We will not publish identifying information about your account, your projects, or the dashboards you upload without your prior consent.

4. User accounts

You must create an account to use the Platform. You are responsible for the confidentiality of your account credentials and for all activity under your account. You must provide accurate registration information and keep it up to date. You must promptly notify us of any unauthorised use of your account.

You must be at least 16 years old to use Meridian. The Platform is not intended for minors.

5. Acceptable use

You agree not to:

  • Upload Content that infringes intellectual property rights or any third-party right.
  • Upload Content containing personally identifiable information (PII) without appropriate authority. Redact customer names, employee identifiers, and sensitive figures before uploading screenshots. If you upload Content containing PII despite this warning, you accept full responsibility for having had appropriate authority to share that data.
  • Attempt to reverse-engineer, decompile, or extract the assessment algorithms, rubric weights, or model prompts.
  • Use the Platform for any unlawful, harmful, fraudulent, infringing, or abusive purpose.
  • Impersonate any person, business, or organisation, or misrepresent your affiliation with any entity.
  • Share account credentials with unauthorised third parties; one account per natural person.
  • Probe, scan, or test the vulnerability of the Platform without our prior written consent (responsible disclosure is welcome — see /.well-known/security.txt).
  • Use the Platform output to train or fine-tune machine-learning models without our prior written consent.
  • Resell, sublicense, or otherwise commercialise access to the Platform without our prior written consent.
  • Misrepresent the Platform's assessment or certification results, including claiming a certification status that has not been awarded or that has since lapsed.

Tier scope — agency and multi-tenant use. The Plus tier is licensed solely for use within a single Customer Data Estate. Use of the Plus tier to certify dashboards as part of a Client Engagement — or on behalf of any third party — is expressly prohibited and constitutes material breach of these Terms. Any consultancy, agency, systems integrator, or other party that certifies dashboards on behalf of external clients requires an Agency licence under a separate Master Service Agreement. We may audit usage patterns — including the number of distinct dashboard sources, certification volume relative to your stated organisation size, and white-labelling activity — to verify compliance with your tier's scope. If an audit reveals a tier-scope violation we may, at our discretion, require you to migrate to an Agency licence or terminate your account for cause.

6. Uploaded content and AI vendor processing

You retain ownership of all Content you upload. By uploading dashboard screenshots and project context you grant us a worldwide, non-exclusive, royalty-free, limited licence to process the Content for the purpose of providing the assessment and certification service to you.

AI vendor pass-through. Uploaded screenshots and prompt context are sent in real time to a third-party AI vision provider for analysis. Our current default provider is Anthropic (Claude). OpenAI and Google are alternative providers we may make available. The provider returns an assessment which we store against your project. The original screenshot is not permanently stored on our servers after processing. By uploading, you also accept the data-handling terms of the selected vendor; please see our Privacy Policy for current vendor stances on training and retention.

If we change the primary AI vendor used to process new submissions, we will give active subscribers at least 14 days' notice by email to their registered address before the switch takes effect.

7. Tier limits, billing, and auto-renewal

Note: Meridian is currently in a public beta — see section 3 for current tier availability. The terms below apply to each tier when that tier is open for purchase or activation. The Plus and Pro² commercial terms below are not yet operative because those tiers are not currently offered for sale.

Starter (free). Limited to 5 active projects and 5 lifetime project certifications. A certification is consumed when a project is assessed for the first time; reassessing the same project does not consume an additional certification. These limits may change with reasonable advance notice posted on this page. Starter is offered free of charge during the beta and is expected to remain free of charge at General Availability; if that intention changes we will give registered users at least 30 days' notice by email before any Starter pricing takes effect.

Plus (planned paid tier — currently in beta preview). When open for purchase, Plus will provide unlimited usage of the assessment workflow within a single Customer Data Estate at the published price, processed by Stripe, with subscriptions that auto-renew at the end of each billing period until cancelled. The auto-renewal disclosure is shown in Stripe Checkout before purchase. Pricing changes apply only to renewals after the next billing date and we will notify you in advance. While Plus is in beta preview no Subscription is offered, no charges are made, and no auto-renewal is in force.

Pro² (coming soon). Planned future tier with extended Steps 2–4 functionality. No purchase or activation is currently offered. Existing subscribers (when there are any) will be notified before any tier transition.

Agency (contact us). For consultancies, agencies, systems integrators, and any party certifying dashboards on behalf of external clients. Includes multi-tenant certification across Client Engagements, white-label and co-branded report rights, consolidated billing, and custom rubric extensions. 8. Disclaimers

The Platform is provided “as is” and “as available”, without warranties of any kind, express or implied, including any warranty of fitness for a particular purpose, merchantability, accuracy, completeness, or non-infringement.

Certification disclaimer. Meridian provides a rubric-based assessment, not a guarantee of dashboard correctness, data accuracy, or fitness for purpose. A certification or score issued by Meridian reflects the Platform's automated evaluation of the dashboard against our published rubric at the time of assessment — nothing more. You remain solely responsible for the accuracy, integrity, completeness, and governance of your dashboards and underlying data. A high certification score does not indicate that a dashboard is correct, free from errors, or suitable for any particular decision or stakeholder use. Do not rely on a Meridian certification as a substitute for your own quality-assurance processes, independent audit, or professional review.

AI-generated guidance. Generative-AI vendors can produce inaccurate, incomplete, or fabricated content (“hallucinations”). We do not guarantee the accuracy, completeness, or suitability of any assessment for a particular decision or context. You are responsible for all decisions made on the basis of assessment results, and for independently verifying any finding before acting on it.

Some jurisdictions do not allow the exclusion of certain warranties, in which case the excluded warranties are limited to the minimum permitted by law and the rest of these Terms continue to apply. Nothing here is intended to exclude or limit any consumer rights you may have under Singapore's Consumer Protection (Fair Trading) Act, Australia's Australian Consumer Law, the UK Consumer Rights Act 2015, the EU Consumer Rights Directive, or any other consumer protection statute that applies to you and that cannot lawfully be excluded.

9. Limitation of Liability

Subject to the consumer-rights carve-out in section 8, and to the maximum extent permitted by law:

  • INSIGHTS-2 will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of data, or loss of goodwill, even if we have been advised of the possibility of such damages.
  • Our aggregate liability arising out of or in connection with the Platform or these Terms is capped at the greater of (a) the fees paid by you to us for the Platform in the 12 months immediately preceding the event giving rise to the claim, or (b) SGD 1,000.
  • Nothing in this clause excludes or limits our liability for fraud, fraudulent misrepresentation, death or personal injury caused by our negligence, or any other liability that cannot lawfully be excluded.

10. Indemnity

You agree to defend and indemnify INSIGHTS-2 against any third-party claim, loss, damage, or reasonable cost (including legal fees) arising out of (a) your breach of these Terms, (b) your unlawful use of the Platform, (c) Content you upload that infringes a third-party right or contains PII you were not authorised to share, or (d) your violation of any applicable law. We will give you prompt notice of any such claim and reasonable assistance in dealing with it.

11. Termination & Service Discontinuation

Termination by us, for cause. We may suspend or terminate your account at any time if you breach the Acceptable Use clause or any other provision of these Terms. For cause includes, but is not limited to: breach of the tier-scope restrictions in section 5, fraudulent use, abuse of the assessment system, misrepresentation of certification results, non-payment, or illegal use of the Platform. Where we terminate for cause, we will refund unused days in the current billing period on a pro-rata basis, except where the breach involves abuse, fraud, or unlawful use — in which case no refund is payable.

Termination by you. You may cancel your Subscription at any time via the Stripe Customer Portal (accessible from your billing page). Cancellation takes effect at the end of the current billing period; service continues until that date. No refund is payable for partial periods on voluntary cancellation.

Service discontinuation. We may discontinue the Platform at any time on at least 30 days' notice by email to your registered address. If we discontinue the Platform, active paid Subscriptions will receive a pro-rata refund of unused days in the most recent Subscription payment period. Free-tier accounts will cease on the discontinuation date with no compensation, as no fees have been paid.

Effect of termination. On termination or service discontinuation, your access to the Platform will cease. Uploaded Content and project data will be deleted from our systems within 30 days, except where retention is required by tax, accounting, or other applicable law.

12. Refunds

Subscription fees are non-refundable except as expressly set out in the Termination & Service Discontinuation clause above, or where a refund is required by Singapore consumer protection law or any other consumer-protection statute that applies to you and that cannot lawfully be excluded. Free-tier usage is, by definition, free of charge.

13. Force majeure

Neither party is liable for failure to perform an obligation (other than to pay money) caused by a prolonged or unforeseeable event reasonably beyond its control — including natural disasters, war, civil unrest, pandemic, government action, or prolonged internet infrastructure outages — provided the affected party gives prompt notice and uses reasonable efforts to resume performance. For the avoidance of doubt, planned maintenance, brief service degradation, and rate-limit events affecting our AI vendors or subprocessors do not constitute force majeure.

14. Governing Law

These Terms, your use of the Platform, and any non-contractual obligations arising in connection with them are governed by the laws of Singapore. The Singapore courts have exclusive jurisdiction, except that we may bring proceedings against you in any jurisdiction in which you reside or do business.

15. Dispute resolution

Before starting court proceedings, both parties agree to:

  • Notify the other in writing of the dispute, with enough detail for the other to investigate.
  • Discuss the dispute in good faith for at least 30 calendar days from the date of the notice.
  • If the dispute is not resolved within that period, either party may submit it to mediation administered by the Singapore International Mediation Centre (SIMC), or proceed directly to the Singapore courts under section 14.

16. Changes to Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the current version. For material changes that adversely affect your rights, we will give at least 30 days' notice via email or in-app notification before the change takes effect. If you do not wish to accept a material adverse change, you may terminate your Subscription within that 30-day notice period at no penalty and receive a pro-rata refund of any unused prepaid fees. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

17. General

  • Entire agreement. These Terms (with our Privacy Policy) are the entire agreement about the Platform and supersede prior representations.
  • Severability. If any clause is held unenforceable, the rest remain in force.
  • No waiver. A failure to enforce any right is not a waiver of that right.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a sale, merger, or reorganisation of our business, provided any such assignment is conditional on the incoming party being bound by substantially equivalent data-protection obligations to those in our Privacy Policy at the date of assignment.
  • No third-party rights. A person who is not a party to these Terms has no rights under the Singapore Contracts (Rights of Third Parties) Act to enforce any term.
  • Notices. We will email you at the address on your account; you can reach us at hello@insights-2.com.
